Summary

Supa provides modular business infrastructure with isolated workspaces for merchants. By accessing our platform, you agree to these terms of service and commit to using our tools and integrations legally and ethically.

1. Who We Are

Supa is a business platform that provides infrastructure and software tools for businesses to manage their operations online.

Each business using Supa operates in an isolated workspace (tenant), with its own data and configuration.

Supa may provide access to its Services through different subdomains or interfaces, but all services are part of the same Supa platform.

2. Eligibility

You must be legally able to enter into a binding contract to use Supa. By using the Services, you confirm that:

  • You are at least the minimum legal age in your jurisdiction.
  • You are authorized to act on behalf of any business you register.

3. Accounts and Responsibilities

When you create an account on Supa:

  • You are responsible for maintaining the security of your account and access credentials.
  • You are responsible for all activity under your account.
  • You must provide accurate, complete and up-to-date business information.

We are not responsible for unauthorized access or losses resulting from your failure to secure your account.

4. Use of the Services

You agree to use Supa only for lawful purposes and in compliance with applicable laws in your region. You must not:

  • Use the Services for illegal, harmful, fraudulent, or abusive activity.
  • Attempt to gain unauthorized access to other accounts, tenants, databases, or systems.
  • Interfere with, slow down, or disrupt the integrity or performance of the Services.
  • Misuse messaging, email, or communication features (including sending spam).

We may suspend or terminate accounts immediately that violate these guidelines.

5. Business Data and Content

You retain full exclusive ownership of the content you upload or create on Supa, including products, invoices, messages, templates, and customer data.

By using the Services, you grant Supa a limited processing license to:

  • Store, replicate, and process your data inside your isolated databases securely.
  • Display and transmit your content to your end customers as needed to operate the modular tools.

This limited license exists solely to provide, operate, maintain, and improve the Supa platform.

6. Third-Party Integrations

Supa may integrate with third-party services such as payment processors, messaging platforms (WhatsApp, TikTok), and identity providers.

You acknowledge and agree that:

  • You are responsible for complying with the terms and guidelines of any third-party services you connect.
  • We are not responsible for third-party services, their failures, interruptions, data losses, or actions.

7. Payments and Fees

Some advanced features, integrations, or high limits of Supa may require paid subscription plans or usage-based fees.

  • You agree to pay all applicable fees according to your active billing plan.
  • Fees may be updated or adjusted with prior written notice.
  • Payments are non-refundable unless required by the local legislation of your residence.

8. Data and Privacy

Your account processing and use of our modular business tools is also governed by our Privacy Policy.

We highly recommend reviewing our detailed Privacy Policy to understand how we collect, transmit, process, and safeguard your corporate information.

9. Suspension and Termination

We may suspend or terminate your access to Supa immediately or upon notice if:

  • You violate the guidelines or commitments set out in these Terms.
  • We are required to do so by court order, law, or government regulations.
  • Your active use of the platform poses a security, operational, or legal risk to Supa or others.

You may close your workspace and stop using the Services at any time.

10. Service Availability

We aim to provide highly reliable Services but Supa is provided "as is" and "as available", without warranties of absolute uninterrupted uptime or error-free software.

We reserve the right to modify, update, temporarily suspend, or discontinue parts of the platform's features for technical maintenance, optimization, or product improvements.

11. Intellectual Property

Supa, its logos, layout designs, high-fidelity UI templates, software code, branding, and platform design are owned by us or our licensors.

You may not copy, modify, distribute, sell, disassemble, or reverse engineer our platform technologies without our explicit written permission.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Supa is provided "as is" without warranties of any kind.
  • We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, revenues, business data, or interruption.
  • Our total cumulative liability is limited to the net amount you paid to use the Services in the twelve months preceding the claim.

13. Indemnity

You agree to indemnify, defend, and hold Supa, its officers, and partners harmless from claims, damages, losses, fines, costs, or expenses arising from your misuse of the Services or violation of these Terms.

14. Changes to These Terms
